End-User License Agreement
This End-User License Agreement ("Agreement" or "EULA") is a binding contract between you ("Customer", "you") and AegisSwift LLC ("AegisSwift", "we", "us") governing your access to and use of the AegisSwift software-as-a-service platform, including all associated features, integrations, APIs, and documentation (collectively, the "Service").
1.License Grant
Subject to your compliance with this Agreement and timely payment of fees, AegisSwift grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business operations during the subscription term.
2.Account Registration
You must provide accurate, complete, and current information when registering. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at security@aegisswift.com of any unauthorized access.
3.Subscription, Fees, and Renewal
- Billing: Subscriptions are billed in advance on a monthly or annual basis at the rates published on our pricing page.
- Auto-renewal: Subscriptions automatically renew at the end of each term unless cancelled at least 24 hours before renewal.
- Refunds: Fees are non-refundable except where required by law. Annual plans cancelled mid-term are not pro-rated.
- Taxes: Fees are exclusive of applicable sales, use, VAT, or similar taxes, which are your responsibility.
- Price changes: We may change pricing with at least 30 days' notice; changes take effect at your next renewal.
4.Acceptable Use
You agree not to:
- Reverse engineer, decompile, or attempt to extract the source code of the Service;
- Resell, sublicense, or provide the Service to third parties as a service bureau;
- Use the Service to store or transmit unlawful, infringing, defamatory, or malicious content;
- Attempt to circumvent rate limits, security controls, or usage quotas;
- Use automated tools to scrape, copy, or harvest data from the Service except via our published API;
- Interfere with the integrity or performance of the Service or another customer's data.
5.Customer Data and Ownership
You own your data. You retain all right, title, and interest in the data you submit to the Service ("Customer Data"). You grant AegisSwift a worldwide, non-exclusive license to host, copy, transmit, and display Customer Data solely as necessary to provide the Service and improve its functionality in aggregated, de-identified form.
You represent that you have all necessary rights to submit Customer Data and that doing so does not violate any law or third-party rights.
6.Third-Party Integrations
The Service integrates with third-party platforms including QuickBooks Online, payment processors, and shipping carriers. Your use of these integrations is subject to their respective terms. AegisSwift is not responsible for outages, errors, or policy changes by third-party providers.
7.Intellectual Property
The Service, including all software, designs, trademarks, and content (excluding Customer Data), is owned by AegisSwift and protected by intellectual property laws. No rights are granted except as expressly set forth herein.
8.Confidentiality
Each party agrees to protect the other's confidential information using reasonable care and to use it only for purposes of this Agreement. Customer Data is treated as your confidential information.
9.Service Levels and Support
We target 99.5% monthly uptime measured outside of scheduled maintenance windows. Support is provided via email and in-app chat during US business hours. Enterprise plans may include additional SLAs as set forth in a separate order form.
10.Suspension and Termination
We may suspend or terminate your access for material breach of this Agreement, non-payment, or activity that threatens the security or integrity of the Service. You may cancel at any time from your account settings. Upon termination, you will have 30 days to export your Customer Data, after which it will be permanently deleted.
11.Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEGISSWIFT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
12.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEGISSWIFT'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO AEGISSWIFT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL AEGISSWIFT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA.
13.Indemnification
You agree to defend, indemnify, and hold harmless AegisSwift from any claims arising out of (a) your Customer Data, (b) your violation of this Agreement, or (c) your violation of any law or third-party right.
14.Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute shall be resolved by binding arbitration in Wilmington, Delaware, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for IP or confidentiality matters.
15.Modifications
We may update this Agreement from time to time. Material changes will be communicated by email and via in-app notice at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
16.Miscellaneous
This Agreement constitutes the entire agreement between the parties regarding the Service and supersedes all prior agreements. If any provision is held unenforceable, the remainder shall remain in effect. You may not assign this Agreement without our written consent. AegisSwift may assign this Agreement in connection with a merger, acquisition, or sale of assets.
